Terms of Service

In plain terms. This summary helps you read the rest; where the two differ, the rest of this document governs.

  • We plan and record certification work. We are not a certification body, we issue no certificates, and we make no promise about the outcome of any audit.
  • You do the work. The product states what the work is and refuses to record it without the evidence the item requires.
  • What you enter stays yours. We claim no ownership of your answers, your evidence or your record.
  • You are responsible for the accuracy of what you enter, and for having the right to enter other people's details.
  • Access is currently by invitation and waiting list, and free. There is no uptime commitment while that is true.
  • You can leave at any time, take your record with you, and ask us to delete it.

Who this agreement is with

These terms are between Superstellar GmbH, a Swiss Gesellschaft mit beschränkter Haftung (GmbH) registered at Baarerstrasse 52, 6300 Zug, Switzerland, CHE-433.879.620(“we”, “us”), and the organisation using executionist.app(“you”). By creating an account, opening an intake we have issued to you, or using the service, you accept them. If you are accepting on behalf of an organisation, you confirm you are authorised to do so.

The service is for organisations. It is not offered to consumers, and it is not intended for personal or household use.

What the service is, and what it is not

executionist is a planning and record-keeping tool for ISO/IEC 27001 and ISO 9001 certification projects. From your answers it draws up a file: the workstreams, the items, the clause each item answers, what done means in the terms an auditor uses, the evidence each item requires, an owner, a date, and the chain of audit milestones. It holds the evidence you enter, keeps a record of who did what and when, and tells you in dates whether your target still holds.

It is not a certification body. It issues no certificate and takes no part in any certification decision. It makes no claim, promise or guarantee about the outcome of any audit, or about whether you will be certified. Certificates are issued by an independent certification body, accredited by a recognised accreditation body, which you engage yourself and which cannot consult on the system it certifies.

Specifically, the service does not:

  • audit you, or perform your internal audit — clause 9.2 requires that whoever audits did not implement what they audit, and that is a person, not a product;
  • collect evidence on your behalf. There are no integrations, no agents to install, no scanning and no continuous monitoring. Evidence is a link you paste or an attestation you type;
  • give legal, regulatory or professional advice. The content of the plan reflects the requirements of the standards as we understand them, and is not a substitute for your own judgement or professional counsel;
  • guarantee that a plan drawn from your answers is complete for your circumstances. If your answers are wrong or partial, the file will be too.

Accounts and organisations

Access is currently by invitation or waiting list. An account belongs to a person; a workspace belongs to an organisation. Whoever creates or is invited into a workspace may see and change the file it holds.

Keep your sign-in credentials to yourself. You are responsible for what is done through your account. Tell us promptly at hello@executionist.app if you believe it has been used without your authority.

What you enter

It remains yours

Your intake answers, your evidence entries, your attestations and your record are yours. We claim no ownership of them. You grant us only the permission we need to run the service: to store your content, process it to draw up and maintain your file, display it back to you and to others in your organisation, and include it in a document we generate at your request. That permission ends when the content is deleted.

You are responsible for it

You are responsible for the accuracy, completeness and lawfulness of what you enter. That matters more here than in most tools: the plan, the dates and the forecast are all derived from your answers, and a file drawn from inaccurate answers will be inaccurate.

Where you enter another person's details — the sponsor, the project lead, an area owner — you confirm you are entitled to provide them and that you have told that person, or will, as your own data protection obligations require. We process those details on your instructions, as set out in the Privacy Policy.

Confidentiality

What you enter describes how your organisation protects itself. We treat it as confidential, we do not disclose it to anyone outside the suppliers named in the Privacy Policy, and we do not use it to train anything or to build features for other customers.

Acceptable use

Do not use the service to:

  • break the law, or infringe anyone's rights;
  • enter another organisation's confidential information without the right to do so;
  • attempt to reach data belonging to another organisation, or to probe, scan or test our systems without our written permission;
  • interfere with the service's operation, or place a load on it designed to degrade it;
  • resell or provide the service to a third party as your own, unless we have agreed that in writing;
  • misrepresent what the product does — in particular, to suggest to a customer, auditor or regulator that using it constitutes certification, or that any certificate has been issued through it.

Availability, changes and support

While access is by invitation and free of charge, we make no commitment about uptime, response times or support, and we may change or withdraw features. We will not do so carelessly: this is a tool people plan real deadlines around, and we will give notice of a material change where we reasonably can.

We may need to suspend the service for maintenance, or to protect it. Where the suspension is planned, we will tell you first.

Fees

There is no charge today and no pricing has been set. If we introduce fees, we will say so in advance and you will be asked to accept them before anything is billed. Nothing in these terms obliges you to pay for what you have already used for free.

Ending the agreement

You may stop using the service at any time and ask us to close your account. Before you go, you can export or copy your record; ask us and we will help.

We may suspend or end your access if you materially breach these terms, if your use puts the service or other customers at risk, or if we stop offering the service. Except where the breach makes it impossible, we will tell you first and give you a reasonable chance to put it right.

On closure we delete your content in line with the periods in the Privacy Policy. Ask us for a copy before you close, because after deletion we cannot recover it.

Our intellectual property

The service, the software, the questionnaire and the plan content are ours and remain ours. Nothing here transfers them to you. You may use the file drawn up for your organisation for your own certification purposes, including showing it to your certification body — that is what it is for. You may not extract the plan content to build or sell a competing product.

Disclaimers

The service is provided as it is. To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that using the service will result in certification, that any audit will be passed, that any deadline will be met, or that a file drawn from your answers satisfies every requirement applicable to you. Those outcomes depend on your work and on the judgement of an independent certification body.

Liability

Nothing in these terms limits liability that cannot lawfully be limited — including liability for death or personal injury caused by negligence, for fraud, or for anything else the applicable law does not permit us to exclude.

Subject to that, and to the extent the law allows: we are not liable for indirect or consequential loss, for lost profits, lost business, lost contracts or reputational harm, or for the cost of a failed or delayed certification. Our total liability arising out of or in connection with the service is limited to the greater of the fees you paid us in the twelve months before the claim, or CHF 100.

We recognise that a cap of this kind is only fair while the service is free. If we introduce fees, we will revisit it.

Changes to these terms

We may update these terms. The version and date at the top will change, and where a change materially affects you we will tell account holders directly rather than rely on you noticing. Continuing to use the service after a change means you accept it; if you do not, stop using the service and ask us to close your account.

Governing law and disputes

These terms are governed by the laws of Switzerland, without regard to conflict of law rules. The courts of Zug, Switzerland have exclusive jurisdiction, save that either party may seek injunctive relief in any court of competent jurisdiction to protect its confidential information or intellectual property.

If any provision is found unenforceable, the rest stands. Our not enforcing a right is not a waiver of it. These terms, with the Privacy Policy, are the entire agreement between us about the service.
